Osintial — Now you know

Terms of Use

Your agreement with Osintial

These terms are the agreement between you and OSINTIAL INC. for using Osintial. They cover your account, what you may monitor and publish, how to treat what the AI produces, plans and payment, and the limits of our responsibility. By creating an account or using the service you agree to them, so please read them. Our Privacy Policy, which explains how we handle personal information, is a separate document that forms part of the agreement.

01 At a glance

In short

  • Osintial is a professional tool for monitoring public content. You choose what to watch, and you are responsible for using what you learn lawfully and fairly.
  • You must be 18 or over, keep your sign-in details to yourself, and use Osintial only for legitimate journalism, security, research or business purposes. Section 6 lists what is never allowed.
  • We collect only public content, and it belongs to the people who published it. Copyright and privacy law still govern how you reuse it.
  • Alerts, summaries, translations, event groupings and the research agent's answers are produced by AI. They can be wrong. Verify before you publish or act, especially where someone's safety is involved.
  • Paid plans renew automatically until you cancel. You can cancel from Settings at any time and keep access until the end of the period you paid for.
  • Osintial is provided as is, our liability is limited, and you can delete your account whenever you like.

02 Who we are and what these terms cover

Osintial is operated by OSINTIAL INC., a Delaware corporation, 850 New Burton Road, Dover, Delaware 19904, United States ("Osintial", "we", "us"). These Terms of Use (the "Terms"; our apps also call them the Terms of Service) are a binding agreement between Osintial and you.

They apply to everything we offer under the Osintial name (together, the "Services"): the website at osintial-ai.com, the Osintial web application, the Osintial apps for iOS and Android, the Osintial Telegram bot, the alerts and messages we deliver by push notification, email, Telegram or WhatsApp, the Osintial API, and any support we provide.

By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Using Osintial for an organisation. If you use the Services on behalf of a company, newsroom, agency or other organisation, you confirm that you are authorised to bind it, and "you" means both you and that organisation. An organisation is responsible for every account it creates or invites into its workspace.

Other documents. The Privacy Policy explains how we handle personal information and forms part of your agreement with us. If you have signed an order form, enterprise agreement or data processing agreement with us, that document prevails over these Terms where the two conflict. The platforms and app stores described in section 13 have their own terms, which apply alongside ours.

03 Your account

Eligibility. You must be at least 18 years old and able to enter into a binding contract. Osintial is a professional tool; it is not intended for anyone under 18, and we will close accounts we believe belong to children.

Registration. You can create an account with an email address and password, with Sign in with Google or Apple, with a Telegram account, or through an invitation from an organisation. Give us accurate information and keep it up to date.

Security. You are responsible for everything done through your account. Keep your password, one-time codes and authenticator app private, turn on two-factor authentication if you can, and do not share a login. Tell us at amitaym@osintial-ai.com immediately if you believe your account has been used without your permission. We are not responsible for loss caused by someone using your credentials unless we caused the breach.

Organisations and teams. Where an organisation created your account or invited you into its workspace, its administrators can manage the account, see the work in it, change its plan and remove it. Organisations are responsible for their members' use of the Services.

Osintial staff. A small number of Osintial administrators can open a customer's account in a read-only view to help with support and troubleshooting. Those views cannot change anything and are recorded, as the Privacy Policy explains.

No transfer. Accounts are personal to the individual or organisation that registered them and cannot be transferred or sold.

04 What Osintial does

Osintial is a monitoring and analysis service for publicly available content. In outline:

  • Subjects. You describe what you want to watch in your own words and attach sources to it: public Telegram channels and groups, public X, Facebook, Instagram and TikTok accounts, live streams and news feeds. A subject can also watch everything we collect.
  • Monitoring. We fetch new public posts from those sources, translate, transcribe or describe them where needed, compare them with your subjects using AI models, and alert you on matches in the feed, by push notification, email, the Telegram bot or WhatsApp, grouped into events.
  • Analysis. Search across collected content, deletion and recycled-media signals, credibility and bias indicators, the research agent, morning briefs and reports, cases and watchlists.
  • Publishing. Composing and publishing posts to channels you connect.
  • API. Programmatic access on plans that include it.

What Osintial does not do. It does not access private messages or content that is not publicly available. It does not promise to see every post, that every alert is relevant, or that every relevant post produces an alert: we deliberately tune matching to avoid false alarms, which means some real matches are missed; platforms change, rate-limit and block; sources go quiet, private or disappear. It is not a substitute for your own verification, editorial judgement or security procedures, and it is not an emergency service.

Changes and beta features. We improve the Services continuously and may add, change or remove features. Features labelled beta, preview, experimental or early access may be unreliable, may change without notice and may be withdrawn; they are provided for evaluation only.

Availability. We aim for high availability but do not promise uninterrupted service. We may suspend all or part of the Services for maintenance, for security, or to protect them from harm, and will give notice when we reasonably can.

05 Subjects, sources and connected accounts

You choose what to monitor. You decide what your subjects describe and which sources they follow. You are responsible for making sure that your monitoring is lawful where you are and where the people you monitor are, and that you have a legitimate purpose for it, such as journalism, security, research, brand and reputation monitoring, or public-opinion analysis. Some countries regulate the monitoring of individuals or the processing of particular categories of information; complying with those rules is your responsibility.

Sources are shared. Each public source is fetched once and shared across the service. Adding a source to a subject does not give you exclusive access to it, and we may already monitor it for others or curate it ourselves. We may decline to add a source, or remove one, at any time: for example when a platform requires it, when the source is not public, or when it is being used for a purpose we do not allow.

Reference images. If you attach an image to a subject, you confirm that you have the right to use it for that purpose. We use it for a one-off visual comparison and create no biometric identifier from it, as the Privacy Policy explains.

Connected accounts. You may connect your own Telegram, X, Facebook, Instagram, TikTok or WhatsApp accounts to discover sources and to publish. You must own, or be authorised to use, every account you connect, and the platform's rules apply to what you do with it. We use a connected account only on your instructions, and never to monitor content. Platforms may limit, suspend or revoke a connection, and we are not responsible when they do. You can disconnect an account at any time in Settings.

Limits. Plans carry limits, for example on subjects, publishing channels, agent use and API calls. We may throttle or pause processing that would materially exceed what your plan provides or that puts the service at risk, and will tell you where practical.

06 Acceptable use

Osintial exists for legitimate monitoring of public information. You agree not to use the Services, or anything you learn through them, to:

  • stalk, harass, threaten, intimidate or blackmail anyone, or reveal private information about a person;
  • track people in a way that is unlawful, that targets them for their ethnicity, religion, political opinion, sexual orientation, health or another protected characteristic, or that facilitates discrimination or violence;
  • conduct unlawful surveillance, or act for anyone subject to sanctions or export restrictions;
  • monitor accounts, channels or groups that are not public, or circumvent a platform's access controls, privacy settings, rate limits or terms;
  • plan, incite or promote violence, terrorism or hatred, or create or spread disinformation;
  • make a decision with legal or similarly significant effects on a person based solely on Osintial's automated output;
  • send spam, deceptive content or content that impersonates someone through channels you connect;
  • resell, sublicense, rent or lend the Services, offer them to third parties as a service bureau, or use them to build a competing product;
  • scrape, crawl or bulk-copy the Services other than through the export and API features we provide, or use them or their output to train machine-learning models without our written permission;
  • reverse engineer, decompile or bypass technical protections in the Services, probe or test our security without permission, or introduce malware;
  • share credentials, use another user's account, or evade a suspension, a plan limit or a usage restriction;
  • infringe anyone's copyright, trademark, privacy or other rights, or break any law.

You are responsible for complying with every law that applies to your use of the Services, including privacy and data protection law, media and journalism law, and export, sanctions and anti-terrorism law, wherever you use them.

We may investigate suspected breaches and may remove content, disable subjects or sources, throttle usage, or suspend or terminate accounts (section 14). Where the law requires or permits it, we may report activity to the authorities.

07 Monitored content and other people's rights

Content belongs to its authors. The posts, images, video, audio and profile details that Osintial collects were published by other people on third-party platforms. Osintial does not own them, does not license them to you and does not endorse them. We show them to you for monitoring, verification and analysis.

Copyright and fair use. How you reuse monitored content is governed by copyright law and by the rules of the platform it came from. Quotation, news reporting, criticism and analysis are permitted in most countries within limits (fair use, fair dealing or quotation rights); wholesale republication usually is not. Do not republish monitored content beyond what the law and the platform allow, credit sources where appropriate, and get permission where it is needed. You are responsible for your reuse.

Accuracy. Monitored content can be false, manipulated, out of date or taken out of context. We provide signals to help you assess it, such as deletion, recycled media, credibility and bias indicators and translations, but they are aids, not verdicts (section 9).

Removal requests. People who appear in monitored content can ask us whether we hold content about them and ask for it to be removed; section 11 of the Privacy Policy explains how. If you believe that content in Osintial infringes your copyright or other rights, write to amitaym@osintial-ai.com with where the content is, why you have rights in it, your contact details, and a statement that your notice is accurate and made in good faith. We act on valid notices and may remove content or disable access to it, and we close the accounts of repeat infringers.

Requests from platforms and authorities. A platform or a legal process can require us to remove content or to stop monitoring a source. We comply where we must, and tell you where the law allows.

08 Publishing and sharing

You are the publisher. When you publish a post through a channel you have connected, or share an alert, export, report or link with others, you, not Osintial, are the publisher of that content. You are responsible for having the rights to the text and media you send, for its accuracy and lawfulness, for complying with the destination platform's rules, and for what the recipients do with it.

Our role. We transmit what you ask us to, when you ask us to. We do not review content before it is sent, and we do not guarantee that a platform will accept, display or keep a post. You grant us the non-exclusive licence we need to store your content, adapt it for the destination (for example by resizing or transcoding media) and transmit it to the channels you choose.

Automatic publishing. If you turn on a rule that publishes matches automatically, posts go out without further review. Use it with care; you remain the publisher.

Taking a post down. Deleting a post inside Osintial does not delete it from the platform it was published to. Do that on the platform.

09 AI-generated output

Much of Osintial is powered by AI models: matching posts to subjects, summaries, translations and transcriptions, image descriptions and text extraction, event grouping, credibility and bias signals, image comparisons, and the research agent's answers, reports and briefs (together, "Output").

Output can be wrong. Models can misunderstand, mistranslate, misattribute, invent details, miss context, reflect bias in their training, and state falsehoods with confidence. Two similar-looking images are not necessarily the same image, and a person a model believes it recognises may be someone else. Treat Output as a starting point for human judgement, not as fact. Verify it independently before you publish it, act on it or rely on it for any decision that affects a person, above all decisions about safety, security, law enforcement, employment, credit or legal rights.

Not professional advice. Output is not legal, financial, medical, security or journalistic advice, and Osintial does not check facts on your behalf.

Your use of Output. Subject to these Terms, you may use Output for your internal purposes and in your own work, and Osintial claims no ownership of it. Output may be the same as or similar to Output produced for other users, and may include or be derived from third-party content, so other people's rights (section 7) still apply to it.

Model providers. Output is produced with the help of third-party AI providers acting on our instructions. Under our agreements with them, the providers of the language, vision, embedding and translation models we use do not use your content to train their models. Section 5 of the Privacy Policy describes what each provider sees.

10 Plans, fees and payment

Plans. Osintial offers plans with different limits and features, such as the number of subjects and publishing channels, live-stream coverage, agent access, API access and team seats. The current plans, prices and limits are shown in the app and are available from sales@osintial-ai.com. Enterprise plans are sold under an order form, which governs their price and term. We may offer free, trial, early-access or promotional plans, may change or withdraw them, and may limit them to one per person or organisation.

Payment. Self-serve plans are billed in advance, monthly or yearly, through our payment provider, Stripe. By subscribing you authorise us and Stripe to charge your payment method for the plan you choose and for each renewal. Prices are in US dollars and exclude taxes; you are responsible for VAT, sales tax and similar taxes, which we add where we are required to collect them. Enterprise invoices are due within 30 days unless the order form says otherwise.

Automatic renewal. A subscription renews automatically at the end of each billing period, at the then-current price for your plan, until you cancel. You can cancel at any time from Settings (Manage billing) or by writing to us. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not refund unused time or partial periods unless the law requires it or we have agreed otherwise in writing.

Changing plans. You can upgrade at any time; the change applies immediately and the difference is charged pro rata. If you downgrade, or a subscription ends, nothing is deleted: subjects and channels above the new limit keep working, but you cannot create new ones until you are back under the limit.

Price changes. We may change the price, limits or features of a plan. For an existing subscription we will give you at least 30 days' notice by email or in the app before a price increase applies at your next renewal. If you do not want to pay the new price, cancel before it takes effect.

Non-payment. If a payment fails we will retry it and let you know. We may downgrade or suspend a plan that remains unpaid, and may charge reasonable collection costs on overdue enterprise invoices.

App store purchases. If you subscribe through Apple's App Store or Google Play, the store's terms govern billing, renewal and refunds, and you manage the subscription in your store account.

11 Your data

Ownership. You own the subjects you define, the notes, cases, reports and conversations you create, the content you upload and the exports you generate ("Your Data"). Osintial claims no ownership of it.

Our licence. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Data as needed to provide, secure and support the Services, to comply with the law, and to improve the Services using aggregated or de-identified information that does not identify you or your organisation. The licence ends when Your Data is deleted, except for copies in backups, which are removed on their normal schedule, and information we must keep for legal, security or billing reasons.

Personal information. The Privacy Policy explains what personal information we collect, why, who sees it, how long we keep it, and your rights, including export and deletion from Settings › Privacy or, without signing in, at osintial-ai.com/delete-account. Where you are the controller of personal information you process through Osintial, for example about the people your subjects monitor, you are responsible for having a lawful basis for that processing, and we act as your processor to the extent the law requires. A data processing agreement is available on request.

Confidentiality. We treat your subjects, sources, alerts, conversations and reports as your confidential information: they are visible only to your account and workspace, and to the Osintial staff who need access to run the service, under the conditions in the Privacy Policy. You agree to keep confidential any non-public information about the Services that we share with you, such as unreleased features, pricing offered to you, or security details.

Monitored content is not Your Data. The public content Osintial collects from third-party sources is shared across the service and is not deleted when you delete a subject or your account. Section 7 and the Privacy Policy explain how we handle it.

Backups and loss. Keep your own copies of anything you cannot afford to lose; exports are available in Settings. Beyond the commitments in an enterprise agreement, we do not guarantee that Your Data will never be lost or corrupted.

12 Our intellectual property

The Services, including the software, the models and prompts we build, the design, text and graphics, the Osintial name and logo, and the tagline "Now you know", belong to Osintial or our licensors and are protected by intellectual property law. Except for the rights expressly granted in these Terms, we reserve all rights.

Your licence. For as long as your account is in good standing, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services, including to install and use the mobile apps on devices you own or control, for your internal business or professional purposes in accordance with these Terms.

Feedback. If you send us suggestions or feedback, we may use them freely and without obligation to you.

Open source. The apps include open-source components under their own licences, which apply to those components.

13 Third-party platforms and app stores

Platforms. Osintial works on top of Telegram, X, Meta's Facebook, Instagram and WhatsApp, TikTok, YouTube and other services. We are independent of them and not endorsed by them. They control access to their content, can change or cut it off at any time, and may require us to change or stop parts of the Services. Your own accounts on those platforms are governed by their terms, and using them through Osintial does not change that.

Apple App Store. If you use the iOS app, the following also applies, as Apple requires. These Terms are between you and Osintial only, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; Apple has no other warranty obligation, and any other claim, loss or cost arising from a failure to conform is Osintial's responsibility. Osintial, not Apple, is responsible for addressing any claim relating to the app, including product-liability claims, claims that it fails to meet a legal or regulatory requirement, and consumer-protection or similar claims, and for the investigation, defence, settlement and discharge of any claim that the app infringes a third party's intellectual property rights. You must comply with Apple's App Store terms and any applicable third-party terms when using the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your licence to the iOS app is limited to Apple-branded devices that you own or control, as permitted by the App Store's usage rules.

Google Play. If you use the Android app, Google Play's terms of service also apply to your download and use of it.

Sanctions and export control. The Services are subject to US export and sanctions law. You confirm that you are not located in a country subject to a comprehensive US embargo, that you are not on a US government list of prohibited or restricted parties, and that you will not use the Services in breach of those laws.

14 Suspension and termination

By you. You can stop using Osintial at any time. To end this agreement, delete your account from Settings › Privacy, or ask us to. Deletion deactivates the account immediately: monitoring stops, every subject is disabled, all sessions are signed out and connected accounts are disconnected. We then delete or anonymise your personal information within 30 days, as the Privacy Policy explains. An organisation's administrators can remove the accounts in its workspace.

By us. We may suspend or terminate your access, or restrict features, if you materially breach these Terms, including the acceptable-use rules; if a payment is overdue; if the law, a court, a platform or an app store requires it; if your use creates a security, legal or operational risk for us, our users or others; or if an account on a free or trial plan has been inactive for more than twelve months. Where it is reasonable to do so we will tell you first and give you a chance to put things right. We will act without notice where the breach is serious or a delay would cause harm.

Effect. When this agreement ends, your licence ends and you must stop using the Services. Fees already paid are not refunded except where section 10 or the law says otherwise. The sections that by their nature should continue, including sections 7, 9, 11, 12 and 15 to 20, survive termination.

15 Disclaimers

The Services and all Output are provided "as is" and "as available". To the fullest extent permitted by law, Osintial and its suppliers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Services will be uninterrupted, timely, error-free, secure or complete.

In particular, we do not warrant that monitoring will capture every post from a source, that every alert is accurate or relevant, that Output is correct, complete or current, that monitored content is accurate or lawful, or that third-party platforms will remain available.

Osintial is not an emergency, life-safety or public-warning service. Do not rely on it as your only source of information for any decision where a missed, late or wrong alert could lead to injury, loss or harm.

Where the law does not allow a warranty to be excluded, it is limited to the shortest period and the narrowest scope the law permits.

16 Limitation of liability

To the fullest extent permitted by law, Osintial and its officers, directors, employees, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data or business opportunity, arising from or related to the Services or these Terms, however caused and under any theory of liability, even if we were told that such damages were possible.

Our total liability for all claims arising from or related to the Services or these Terms is limited to the greater of the amount you paid us for the Services in the twelve months before the event giving rise to the claim, and US$100.

These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for wilful misconduct. If you are a consumer under mandatory law where you live, nothing in this section reduces the rights that law gives you.

You acknowledge that the fees reflect this allocation of risk and that we would not offer the Services on these terms without it.

17 Indemnity

You will defend, indemnify and hold harmless Osintial and its officers, directors, employees and agents from any claim, demand, loss, liability, damage and expense, including reasonable legal fees, brought by a third party and arising from: your use of the Services or of Output, including your monitoring, publishing, sharing and reuse of monitored content; Your Data or content you publish; your breach of these Terms or of any law; or a dispute between you and another user or a person you monitor.

We will notify you promptly of any such claim and let you control its defence and settlement, provided that you do not settle a claim in a way that imposes obligations on us without our written consent. We may take part in the defence with our own counsel at our own cost. This section does not apply to consumers where mandatory law prohibits it.

18 Changes to these terms

We may change these Terms. When we do, we will publish the new version at osintial-ai.com/terms with a new effective date and version. If a change materially reduces your rights or increases your obligations, we will also tell you in the app or by email at least 14 days before it takes effect, unless the change is needed sooner to comply with the law or to address a security issue.

Continuing to use the Services after the effective date means you accept the new Terms. If you do not accept them, stop using the Services and delete your account before that date. A change does not apply to a dispute that arose before it took effect. Changes to the Services themselves are described in section 4.

19 Governing law and disputes

Governing law. These Terms, and any dispute arising from them or from the Services, are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. If you have a problem, write to amitaym@osintial-ai.com and we will try to resolve it with you within 30 days. Most issues are sorted out that way.

Courts. A dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Osintial each submit to their personal jurisdiction. Either of us may nonetheless ask any court of competent jurisdiction for an injunction or other urgent relief to protect intellectual property or confidential information. To the extent the law permits, you and Osintial each waive any right to a trial by jury.

Mandatory local law. If you are a consumer, or the law where you live gives you the right to bring proceedings there or the protection of different mandatory rules, nothing in this section takes those rights away.

Time limit. To the extent the law allows, a claim relating to the Services must be brought within one year after it arose.

20 General terms

  • Entire agreement. These Terms, the Privacy Policy and any order form, enterprise agreement or data processing agreement between us are the whole agreement between you and Osintial about the Services and replace any earlier agreement or understanding.
  • Severability. If a court finds part of these Terms unenforceable, that part is limited or removed to the minimum extent necessary and the rest remains in force.
  • No waiver. If we do not enforce a provision, we can still enforce it later.
  • Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them to a successor in a merger, acquisition or sale of assets, and will tell you if we do.
  • Third parties. Apart from Apple as described in section 13, no one other than you and Osintial has rights under these Terms.
  • Events beyond our control. Neither of us is liable for a delay or failure caused by events beyond our reasonable control, such as platform outages, network failures, acts of government, war, terrorism or natural disaster, except for payment obligations.
  • Notices. We may send notices to the email address on your account or show them in the app. Send notices to us at the address in section 21. You agree to receive agreements, notices and other communications from us electronically.
  • Relationship. You and Osintial are independent contractors. These Terms create no partnership, agency or employment relationship.
  • Language. These Terms are written in English. If we provide a translation, the English version prevails.
  • Headings. Headings and the summary in section 1 are for convenience and do not affect interpretation; where they and the full text differ, the full text prevails.
